1. Who the company is contracting with
Before price and deadlines, check the contracting party: name, details, address, signer, and authority basis. If this layer is wrong, the rest of the review is weak because the terms may be discussed with the wrong party or with a person who lacks authority.
2. What exactly must be delivered
The scope should answer a simple question: what result will count as completed. If the contract describes only a general process, disputes over quality and volume become more likely.
Attachments, statements of work, specifications, and correspondence matter. Sometimes the main agreement is short and clean while the real obligations sit in the attachments.
3. When payment becomes due
The contract price is only part of the picture. For management, the stronger question is what triggers payment: acceptance act, invoice, report, delivery note, acceptance without objections, internal approval, or separate confirmation.
If the team cannot see the document that starts payment, cash flow becomes dependent on chance.
4. Who owns deadlines
The completion date alone is not enough. The team must know what happens when input data is late, scope changes, objections are raised after delivery, the team changes, or subcontractors are involved.
A good contract does not only set a date. It explains how changes are managed.
5. Which decisions are needed before signing
A management contract review should end with decisions, not a summary:
- accept the payment process or change it;
- clarify the document package for payment;
- tighten acceptance;
- limit replacement of key people;
- move notices into the calendar;
- ask counsel a specific question.
